What is a User Agreement?

A User Agreement is a legally binding contract between Adept Group LLC and each customer that defines the terms under which the Adept EPR AI platform may be accessed and used. It outlines rights, responsibilities, and limitations for both parties, including data ownership, confidentiality, and acceptable use. By proceeding, you acknowledge that you have read, understood, and agree to the terms that follow.

Terms and Conditions

Adept EPR AI – User Agreement 

July 16, 2025

1. Acceptance of Terms 

​

By creating an account, accessing, or using the Adept EPR AI platform (“Service”), you (“Customer”) agree to be bound by this User Agreement (“Agreement”). If you are entering into this Agreement on behalf of a company or organization, you represent that you have authority to bind that entity. 

 

2. Access and Use 

​

License: Adept Group LLC (“Adept”) grants Customer a non-exclusive, non-transferable, limited right to access and use the Service during the Subscription Term, solely for Customer’s internal business purposes. 

Restrictions: Customer shall not (a) reverse engineer, copy, modify, or resell the Service; (b) use it to develop competing products; or (c) use it unlawfully or in violation of applicable regulations. 

Accounts: Customer is responsible for maintaining the confidentiality of account credentials and all activity under its account. 

 

3. Subscription and Fees

Term: Subscription begins on the Effective Date and continues for the term stated in the order form or online purchase (the “Subscription Term”). 

Renewal: Subscriptions renew automatically unless either party provides written notice of non-renewal at least 30 days before renewal. 

Payment: Fees are due as specified in the order form. Late payments may accrue interest at 1.5% per month or the maximum rate allowed by law. 

 

4. Data and Privacy

Ownership: Customer retains ownership of all data uploaded into the Service (“Customer Data”). 

Usage: Adept may process Customer Data solely to provide and improve the Service, in accordance with the Privacy Policy. 

Security: Adept implements industry-standard administrative, physical, and technical safeguards to protect Customer Data. 

 

5. Confidentiality

Each party agrees to maintain the confidentiality of non-public information received from the other and to use it only for purposes of fulfilling this Agreement. 

 

 

6. Intellectual Property 

​

All software, designs, models, and related intellectual property underlying the Service are owned or licensed by Adept. No ownership rights are transferred to Customer. 

 

7. Service Availability 

​

Adept will use commercially reasonable efforts to ensure Service uptime and performance. Scheduled maintenance or force majeure events may cause temporary unavailability, for which Adept shall not be liable. 

 

8. Termination 

​

Either party may terminate this Agreement for material breach if the breach is not cured within 30 days of written notice. Upon termination, Customer’s access to the Service will cease, and Adept will delete Customer Data after 60 days unless otherwise agreed. 

 

9. Disclaimer of Warranties 

​

The Service is provided “as is” without warranty of any kind. Adept disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 

 

10. Limitation of Liability 

​

To the maximum extent permitted by law, Adept’s total liability arising out of or related to this Agreement shall not exceed the fees paid by Customer during the 12 months preceding the claim. In no event shall Adept be liable for indirect, consequential, or incidental damages. 

 

11. Indemnification 

​

Customer agrees to indemnify and hold harmless Adept from any third-party claims arising from Customer’s use of the Service in violation of this Agreement or applicable law. 

 

12. Governing Law and Venue 

​

This Agreement shall be governed by the laws of the State of Pennsylvania, without regard to conflict-of-law principles. Any disputes shall be resolved in courts located in Bethlehem, Pennsylvania. 

 

13. General 

​

Entire Agreement: This Agreement, together with the Privacy Policy and any applicable Order Form, constitutes the entire agreement between the parties. 
 

Amendments: Adept may modify this Agreement upon posting the updated version to the Service. Continued use constitutes acceptance. 

Notices: Notices must be sent in writing to legal@adeptpackaging.com.
